HERO DOWN FOUNDATION
SPONSORSHIP TERMS AND CONDITIONS
Effective upon submission and digital signature of the sponsorship form.
Sponsorship Agreement
By submitting the sponsorship form, the sponsor, vendor, exhibitor, donor, or participating company agrees to provide the monetary, in-kind, product, vendor, or other support selected in the form for Hero Down Foundation and any applicable event within the Hero Down Competition Series. This agreement applies to the event or events specified in the sponsorship form and to any year-long sponsorship selected.
For purposes of these Terms and Conditions, “Sponsor” includes any company, organization, individual, vendor, exhibitor, donor, or partner submitting the sponsorship form or providing monetary, in-kind, product, vendor, or other support.
Sponsorship Benefits
Sponsors will receive the benefits associated with the selected sponsorship tier, event activation, vendor option, or approved add-on as outlined on the Hero Down Foundation website, sponsorship materials, or sponsorship form. All benefits are subject to venue rules, safety requirements, scheduling constraints, sponsor deadlines, and availability. Hero Down Foundation reserves the right to adjust placements or fulfillment methods while making reasonable efforts to provide comparable value.
No category exclusivity, presenting rights, naming rights, or exclusive promotional rights are granted unless expressly included in the selected sponsorship tier or confirmed in writing by Hero Down Foundation.
Payments and Contributions
All monetary sponsorship contributions, vendor fees, and event activation fees are due within fifteen days of signing unless otherwise agreed in writing. In-kind contributions, product donations, banners, artwork, and marketing materials must be delivered by the deadlines communicated by Hero Down Foundation. Failure to meet payment, delivery, artwork, or approval deadlines may result in reduced or forfeited sponsorship benefits without refund.
Non-Refundable Sponsorships
All sponsorships, vendor fees, event activations, and selected sponsorship contributions are non-refundable. If an event is postponed, rescheduled, or modified due to weather, safety concerns, venue issues, operational needs, public safety concerns, government action, or other circumstances outside the control of Hero Down Foundation, sponsorship benefits will be applied to the rescheduled event or an equivalent opportunity when reasonably possible.
Event Changes and Force Majeure
Hero Down Foundation reserves the right to change event dates, venues, formats, schedules, stage designs, activations, vendor layouts, or programming as necessary. If an event is canceled and cannot be rescheduled, Hero Down Foundation will make reasonable efforts to provide comparable value through alternative events, digital placements, future programming, or other sponsor recognition opportunities.
Brand Assets and Usage Rights
Sponsors grant Hero Down Foundation permission to use the sponsor’s name, logo, trademarks, trade names, website, social media handles, and approved promotional materials in connection with event marketing, websites, digital media, social media, email campaigns, print materials, matchbooks, signage, announcements, and post-event recaps. Sponsors may reference their sponsorship relationship with Hero Down Foundation but may not imply endorsement, certification, approval, partnership, agency, or affiliation beyond the sponsorship itself unless approved in writing.
Sponsors represent that they have the right to provide and authorize the use of all submitted logos, trademarks, artwork, images, copy, and promotional materials.
Asset Deadlines
Sponsors are responsible for providing logo files, artwork, banners, products, tracking information, and other materials by the deadlines communicated by Hero Down Foundation. Late, incomplete, low-resolution, or incorrectly formatted submissions may result in exclusion from certain placements without refund.
Vendor and On-Site Participation
Vendor space, demo bays, live-fire demonstrations, displays, and on-site activations are subject to venue rules, safety policies, staffing requirements, scheduling, and availability. Sponsors are responsible for staffing their space and complying with all applicable laws, range rules, safety requirements, venue policies, and Hero Down Foundation instructions.
Hero Down Foundation may require vendors, exhibitors, demo bay participants, or activation sponsors to provide proof of insurance, additional insured endorsements, permits, licenses, waivers, or other documentation before participating on site. Failure to provide requested documentation may result in reduced or forfeited participation benefits without refund.
Hero Down Foundation reserves the right to restrict, modify, relocate, suspend, or remove any vendor space, display, demonstration, or activation that poses a safety, legal, operational, reputational, or mission-alignment concern.
Sponsored Products and Prizes
Sponsors are responsible for the legality, safety, suitability, and accurate description of any products, prizes, samples, discount offers, promotional materials, or merchandise provided. All shipments must include valid tracking information. Hero Down Foundation is not responsible for lost, damaged, delayed, misdirected, restricted, or non-compliant shipments.
Sponsors are solely responsible for ensuring that all donated products, prizes, firearms, ammunition, accessories, regulated items, marketing materials, and promotional offers comply with all applicable federal, state, and local laws. Any item requiring transfer through a Federal Firearms Licensee, age verification, background check, special handling, or restricted delivery must be identified in writing before shipment or delivery. Hero Down Foundation reserves the right to refuse, remove, substitute, return, or decline any item at its discretion.
Mission Alignment
Hero Down Foundation is a 501(c)(3) nonprofit supporting veterans, law enforcement officers, first responders, and their families. Sponsors agree that all branding, products, materials, conduct, and activations will align with the mission, values, and professional standards of Hero Down Foundation.
Hero Down Foundation reserves the right to decline, cancel, or remove any sponsorship, vendor participation, activation, product donation, promotional material, or on-site presence that conflicts with its mission, creates a safety concern, violates venue or legal requirements, or may negatively affect the organization, event, participants, partners, beneficiaries, or community.
Limitation of Liability
To the fullest extent permitted by law, Hero Down Foundation is not liable for indirect, incidental, special, punitive, consequential, or lost-profit damages related to sponsorship participation, vendor participation, product donations, event changes, postponement, cancellation, or benefit fulfillment. Total liability shall not exceed the amount of monetary sponsorship or vendor fees actually received by Hero Down Foundation from the sponsor for the applicable event.
Indemnification
Sponsors agree to indemnify, defend, and hold harmless Hero Down Foundation, its officers, directors, volunteers, staff, partners, sponsors, venues, contractors, and representatives from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to the sponsor’s products, prizes, services, displays, activations, materials, conduct, negligence, misconduct, legal violations, intellectual property infringement, or failure to comply with these Terms and Conditions.
Tax Status
Hero Down Foundation is a 501(c)(3) nonprofit organization. Donations may be tax deductible to the extent allowed by law. Sponsorship payments, vendor fees, event activations, team entries, advertising, marketing placements, or other arrangements involving goods, services, recognition, access, or deliverables may have different tax treatment. Sponsors and donors are responsible for consulting their own tax advisors. Hero Down Foundation will provide donation acknowledgments where applicable. Tax ID: 99-4557748.
Where required, Hero Down Foundation may provide a good-faith estimate of the value of goods, services, or benefits provided in exchange for a contribution. The deductible portion, if any, may be limited to the amount paid or donated above the fair market value of those benefits.
Entire Agreement
These Terms and Conditions, together with the completed sponsorship form and any referenced sponsorship materials, constitute the entire agreement between the sponsor and Hero Down Foundation regarding the selected sponsorship, vendor participation, donation, or event support. Any modifications must be made in writing and agreed to by both parties.
Governing Law
This agreement is governed by the laws of the Commonwealth of Massachusetts unless otherwise required by applicable law.
Acknowledgment
By submitting the sponsorship form and providing a digital signature, the sponsor acknowledges that they have read, understood, and agreed to these Terms and Conditions.
